Terms of service
1. Scope
These terms govern the use of the TWT Invoice portal provided by TWT — Tat Welle Tech, Mojtaba Kadivar. They apply to business customers (§ 14 BGB).
2. Service
We provide a web-based invoicing portal including creation, design, validation and export of invoices and e-invoices. The scope of functions depends on the plan booked. We may develop and improve the service on an ongoing basis.
3. Account and access
Access credentials must be kept confidential and not passed to third parties. The customer is responsible for the users it invites and the permissions it grants them.
4. Fees and payment
The fee for the booked plan is payable monthly in advance. All prices are exclusive of statutory VAT. The contract can be cancelled to the end of the paid billing period; there is no minimum term and no setup fee.
5. Term and termination
The contract runs for the booked billing period (monthly or yearly) and renews for the same period unless cancelled in time. Monthly subscriptions can be cancelled with two weeks' notice to the end of the billing month, yearly subscriptions with three months' notice to the end of the contract year. A cancellation arriving later takes effect at the end of the following period; the confirmation states the actual end date. Fees already paid for the running period are not refunded pro rata on an ordinary cancellation; access remains until the contract ends. The right of both parties to extraordinary termination for an important reason (§ 314 BGB) remains unaffected; whether and how much is refunded then depends on the reason for the termination and is determined separately. Cancellation is possible in text form, in the customer account, and via the "Cancel contracts here" button.
6. Customer data
The customer remains the owner of the data it enters. The customer is responsible for the accuracy and legality of its invoice content and for complying with its own retention obligations.
7. Liability
We are liable without limitation for intent and gross negligence, and for injury to life, body or health. For slight negligence we are liable only for breach of a material contractual obligation, limited to the foreseeable damage typical of the contract.
8. No tax or legal advice
The portal supports compliance with invoicing requirements but does not constitute tax or legal advice. Responsibility for the correctness of issued invoices remains with the customer.
9. Governing law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Wolfsburg, insofar as this may lawfully be agreed.
